Position: Senior Counsel, Business and Legal Affairs

Provide day-to-day legal services required in the operation of all areas of new media and interactive businesses including online and ecommerce, licensing and wireless for multiple groups.

At the direction of and under the supervision of the SVP, the Senior Counsel will practice across a range of disciplines including technology law, internet law, e-commerce, wireless, licensing, and online production and development. The Senior Counsel will perform the following activities:



1. Negotiate, draft and review for execution by management, various types of contracts in connection with the acquisition, creation, production and distribution of digital content including: (i) online and wireless game development agreements; (ii) online and wireless game publishing and distribution agreements; (iii) talent services agreements; and (iv) independent contractor agreements.

2. Provide advice and counsel to management regarding legal implications of proposed business opportunities, strategies and actions, including in the areas of social networking, virtual items and user-generated video and also on various clearance issues relevant to our brands.

3. Work with talent agents/attorneys to acquire and document rights and/or use approvals; work with production attorneys on interactive rights issues.

4. Provide specific guidance with respect to Children's Television Act, COPPA, SB-27 and CAN-SPAM compliance, ensuring that our websites comply with applicable guidelines by reviewing and revising privacy policies and practices. Liaise with corporate privacy lawyers to ensure company-wide compliance and also with outside counsel to stay up to date on new laws and regulations.

5. Cultivate and maintain channels of communication with key Legal and Business Affairs personnel in technical areas including music clearance, sweepstakes, trademarks, guilds, regulatory compliance and standards and practices.

6. Communicate and resolve consumer issues related to the management of our websites.

7. Perform other essential functions as assigned and maintain regular and predictable attendance.



REQUIRED:

To perform this job successfully, candidate must have an accredited law degree, with no less than 3 years legal practice (4 years preferred), and must have a license. The Senior Counsel must work under the pressure of responding to multiple requests and priorities from multiple internal client bases.

Preferred: Experience in technology transactions, game development and game publishing. Private Practice experience with law firm or in-house experience at recognized entertainment, media or technology company. Experience working with intellectual properties.
